Rocket Lab has agreed to acquire Iridium Communications in an $8 billion cash-and-stock deal, purchasing all outstanding Iridium common shares for $54 per share. If completed, the acquisition will transform Rocket Lab from a launch and space systems company into a vertically integrated satellite communications provider spanning launch, spacecraft manufacturing, spectrum ownership, and commercial communications services.

According to the agreement announced on June 29, the acquisition is expected to close in mid-2027, pending shareholder approval and regulatory clearance. Once finalized, Rocket Lab will combine its launch and satellite manufacturing capabilities with Iridium's global low Earth orbit constellation, L-band spectrum assets, and customer base spanning government, defense, maritime, aviation, emergency response, and industrial sectors.

Founded by Sir Peter Beck, Rocket Lab became well known through its Electron small launch vehicle, providing dedicated launch services for commercial, civil, and defense payloads. The company has since expanded into spacecraft manufacturing, satellite components, solar power systems, reaction wheels, radios, and other space technologies.

Rocket Lab is also developing the reusable Neutron launch vehicle for medium-lift missions and national security customers. Its 2026 acquisition of laser communications specialist Mynaric further strengthened its portfolio, reflecting a long-term strategy of integrating spacecraft production, launch services, and on-orbit operations.

In 2025, Iridium generated $871.7 million in revenue and $495 million in operational EBITDA, providing Rocket Lab with a substantial recurring revenue stream.

The acquisition would also strengthen Rocket Lab's position in national security markets by adding spectrum rights, regulatory approvals, ground infrastructure, and resilient communications capabilities for defense and critical infrastructure users.


垂直整合成趨勢 挑戰SpaceX模式

若交易完成,Rocket Lab將擁有自己的全球衛星通訊星系,並可由內部完成衛星設計、製造、發射及後續營運,大幅降低對外部供應商依賴,也為未來Iridium新一代衛星提供自家生產與發射能力。

If the acquisition closes, Rocket Lab will own and operate its own global satellite communications network while controlling spacecraft design, manufacturing, launch, and on-orbit operations. This vertical integration could reduce dependence on third-party suppliers and allow future Iridium satellites to be built and launched entirely within Rocket Lab.

Industry analysts view the move as part of a broader trend toward vertical integration, similar to SpaceX's model combining launch services with the Starlink satellite network. The deal may encourage other launch providers and satellite operators to pursue end-to-end space capabilities.


交易仍待核准 成敗攸關Rocket Lab未來布局

不過,這項交易仍須取得監管機關與Iridium股東同意,同時Rocket Lab也必須完成龐大的資金籌措。目前公司已取得36億美元過渡融資承諾,後續仍將依市場情況調整現金、債務與股票等融資結構。

The acquisition still requires shareholder approval, regulatory clearance, and successful financing. Rocket Lab has secured commitments for a $3.6 billion bridge loan, while the final mix of cash, debt, and equity financing remains under evaluation.

If completed, the deal would provide Rocket Lab with an operational satellite constellation, globally licensed spectrum, established customers, and recurring service revenue, marking the company's largest acquisition and positioning it as a major integrated space infrastructure provider.
